North Bold Compagny Affiliate Program Terms
Version 1.0 effective October 15, 2026
These terms (the "Terms") are a contract between North Bold Compagny, a business based in Quebec City, Canada, registered for GST (78387 5446 RT0001) and QST (4056358701 TQ0001), represented by Maxime, founder ("NBC", "we"), and any person or business registered in the affiliate program (the "Affiliate", "you").
Contact: fondateur@northboldcompagny.com
1. Definitions
- Program: the NBC affiliate program described in these Terms.
- Eligible Products: NBC's online courses sold through the Systeme.io platform and marked as eligible in your affiliate dashboard, in French (priced in Canadian dollars) and in English (priced in US dollars). Add-on products in the same order (order bumps and post-purchase upsells) count as eligible when they are themselves Eligible Products.
- Eligible Sale: an order for an Eligible Product that is attributed to your affiliate ID under Section 5, paid in full, and not excluded by Section 7 or 10.
- Net Amount: the amount actually paid by the customer for the Eligible Products in an order, after discounts, excluding taxes (GST, QST, HST, sales tax or any similar tax). Payment processing fees are not deducted.
- Affiliate Link: your unique tracking link (the Systeme.io
sa= parameter).
- Dashboard: the affiliate area provided by Systeme.io, where you see your clicks, sales and commissions and enter your payout method.
- 14-Day Action Guarantee: NBC's refund policy for its courses, published at formation.northboldcompagny.com/refund-policy.
2. Joining the Program
2.1 Registration. You register through NBC's sign-up form. Registrations are accepted automatically, but NBC may decline or end any registration at any time, at its discretion, including for inaccurate information or practices that breach these Terms.
2.2 Eligibility. You must be at least 18 years old (or the age of majority where you live, if higher) and legally able to enter into a contract. NBC employees may not join.
2.3 Accurate information. You must provide accurate information and keep it up to date, including your contact details, payout method and, where applicable, your tax registration numbers.
2.4 Acceptance. By registering, you accept these Terms. They apply as soon as your Affiliate Link is sent to you by email. A link obtained in any other way does not earn commissions.
3. Your Status
You act as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture or franchise relationship. You may not act on behalf of NBC, sign contracts for it, or make promises or statements on its behalf beyond those in the affiliate kit NBC provides.
4. Commission
4.1 Rate. NBC pays you a commission of 30% of the Net Amount of each Eligible Sale.
4.2 Multiple products. When an order includes several Eligible Products (for example, a course plus an order bump), the commission applies to all Eligible Products in that order.
4.3 Example. A US customer buys a course priced at US$97 with no tax added: commission = US$29.10. (Illustrative only.)
4.4 Currency. Commissions are calculated and paid in the currency of the sale (CAD for French products, USD for English products). NBC does not convert currencies.
4.5 Rate changes. NBC may change the commission rate going forward under Section 15. A change does not affect Eligible Sales already made.
4.6 These Terms take precedence. The Dashboard shows commissions as calculated by the platform. If that figure differs from these Terms (for example, if it was calculated on a tax-inclusive amount), these Terms prevail and NBC adjusts the amount in the next payout.
5. Attribution
5.1 Tracking. Sales are attributed under the Systeme.io platform's tracking rules. Under these rules, a customer is generally linked to the Affiliate whose Affiliate Link led to the customer's first sign-up or first purchase. That link remains for the customer's later purchases of Eligible Products, subject to Section 5.2.
5.2 Exception. If a customer buys through another Affiliate's link that goes directly to the checkout page, the platform may credit that sale to the other Affiliate.
5.3 Duration. There is no time limit, as long as the platform keeps the association and you remain an Affiliate in good standing.
5.4 No tracking, no commission. No commission is owed on a sale the platform did not attribute to your ID, including when the customer blocked cookies, switched devices or bought without using your Affiliate Link. NBC is not required to rebuild a missing attribution, but may do so at its discretion if clear evidence is provided within 30 days of the sale.
5.5 Final decision. If Affiliates disagree over an attribution, NBC's decision, based on platform data, is final.
6. Holding Period, Threshold and Payouts
6.1 30-day hold. A commission becomes payable 30 days after the sale date, provided the sale has not been refunded, disputed or placed under review during that period.
6.2 Monthly payouts. Payable commissions are grouped on an invoice generated by the platform on the 10th of each month and paid within a reasonable time afterward, normally within 15 days.
6.3 Minimum threshold. A payout is made only when your payable balance reaches 25 in the relevant currency (CA$25 or US$25). Balances below the threshold carry over to the next month.
6.4 Payout method. Payouts are made by PayPal or bank transfer (including through Wise), as you select in your Dashboard and as NBC makes available. Fees your provider charges for receiving payments, converting currency or withdrawing funds are your responsibility.
6.5 Invalid details. NBC is not responsible for a payout that is delayed or lost because of incorrect details. A balance that cannot be paid for 12 months, despite two notices to your email address, is deemed abandoned to the extent permitted by law.
7. Refunds, Chargebacks and Cancellations
7.1 Full refund. If an Eligible Sale is refunded in full, including under the 14-Day Action Guarantee, the related commission is cancelled.
7.2 Partial refund. If an Eligible Sale is partly refunded, the commission is reduced in proportion to the refund (refunded Net Amount × 30%).
7.3 Chargebacks and disputes. A sale the customer disputes with their bank is treated as refunded. If NBC wins the dispute, the commission is restored.
7.4 Set-off. If a commission was already paid on a sale that is later refunded or disputed, NBC may deduct that amount from your future commissions. If you leave the Program with a negative balance, NBC may ask you to repay it.
8. Fraud and Review
8.1 NBC may hold any commission under review when it reasonably suspects fraud, a breach of these Terms or unusual activity, such as self-referrals, stolen cards, abnormal refund rates or artificial traffic.
8.2 NBC will notify you by email and give you 10 days to explain. NBC will then decide within a reasonable time.
8.3 If fraud or a breach is confirmed, the affected commissions are cancelled and NBC may end your participation under Section 14, without limiting its other remedies.
9. Disclosure Requirement
9.1 You must clearly and conspicuously disclose your financial relationship with NBC in every post, video, email, page or message that contains your Affiliate Link or recommends NBC's courses.
9.2 The disclosure must:
- appear before or next to the link or recommendation, and be visible without clicking "more";
- be in the same language as the content, and be both spoken and shown on screen in videos and livestreams;
- use clear wording, for example: "Affiliate link: I earn a commission if you buy through this link, at no extra cost to you." or "#ad #affiliate". In French: "#Pub", "Lien affilié".
9.3 A platform's "paid partnership" tool is not enough on its own if it is not prominent. When in doubt, add a written disclosure.
9.4 You must comply with all applicable laws and standards, including the US Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465), Canada's Competition Act, the Ad Standards Influencer Marketing Disclosure Guidelines, and Québec's Consumer Protection Act.
10. Prohibited Practices
You may not do any of the following, or allow anyone to do it on your behalf. Any sale that results is not an Eligible Sale.
- Income or results claims: claiming or implying that a course guarantees income, clients, a job or specific results, or using unrepresentative earnings screenshots or testimonials. The same applies to the Program itself: no earnings promises to people you recruit.
- Misrepresentation: describing a course's content, price or length, or the 14-Day Action Guarantee, inaccurately. Use only NBC's wording for the guarantee.
- Fake reviews and testimonials: writing, buying or soliciting fictitious reviews or testimonials, or presenting a review without disclosing that you are an Affiliate.
- Spam: sending commercial emails, texts or direct messages without the consent required by Canada's Anti-Spam Legislation (CASL), the US CAN-SPAM Act or any other applicable law. Also prohibited: bulk or automated direct messages, repetitive promotional comments, and any breach of platform rules.
- Brand bidding: bidding on "North Bold Compagny", "North Bold", "NBC courses" or any variation or misspelling in ad platforms (Google Ads, Bing Ads, Meta, etc.), or sending paid ads directly to NBC's pages, unless authorized in writing.
- Impersonation: using NBC's name, logo or look in a way that suggests you are NBC; registering accounts, pages or domain names that include the brand.
- Coupon and deal sites: publishing promo codes NBC did not give you, or listing NBC on coupon or cashback sites.
- Self-referrals: buying through your own Affiliate Link, directly or through a relative, a nominee or a business you control.
- Artificial traffic: automated clicks, undisclosed incentives, cookie stuffing, hidden redirects, adware, or pirated or illegally shared content.
- Inappropriate content: promoting NBC alongside illegal, hateful, violent, sexually explicit or misleading content, or targeting minors.
- Resale: reselling, sharing or redistributing access to the courses.
11. Use of the Brand and Content
11.1 NBC grants you a limited, non-exclusive, revocable, non-transferable licence to use its name, logo and the materials in the affiliate kit, only to promote Eligible Products in line with these Terms.
11.2 You may not alter the logo or create materials suggesting an official partnership beyond the affiliate relationship. If NBC asks you to remove content, you must do so within 48 hours.
12. Compliance with Laws; Taxes
12.1 You are responsible for complying with all laws that apply to your activities, including advertising, consumer protection, electronic messaging and privacy laws.
12.2 Taxes. You alone are responsible for reporting your commissions and paying your taxes.
- Canadian Affiliates registered for GST/HST and/or QST must send NBC a valid invoice showing their registration numbers. NBC will then pay the applicable taxes in addition to the commission, in the payout cycle after it receives the invoice.
- If you are not registered (for example, as a small supplier), no tax is added.
- NBC may ask for tax information required by law, and may withhold or report amounts it is legally required to withhold or report. VALIDATION COMPTABLE NÉCESSAIRE / ACCOUNTING REVIEW REQUIRED.
13. Personal Information
13.1 NBC processes your personal information (identity, contact details, links to your platforms, performance data, and the information needed for payouts and tax purposes) in order to: manage your registration and your participation, calculate and pay your commissions, prevent fraud, contact you about the Program and meet its legal obligations. It does so under its Privacy Policy (formation.northboldcompagny.com/privacy) and Québec's Act respecting the protection of personal information in the private sector.
13.2 Your information is hosted by Systeme.io, among others, and may be shared with payment providers (PayPal, Wise, Stripe) outside Québec, only as needed.
13.3 Information from a declined or cancelled registration is kept for 12 months and then destroyed. Affiliate records are kept during your participation and then for the period required by tax laws.
13.4 Person in charge of the protection of personal information: Maxime, founder, fondateur@northboldcompagny.com. You may ask this address for access to or correction of your information.
13.5 Customer data. You have no rights to the information of NBC's customers. If you get access to it, you may not use, copy or share it.
14. Term and Termination
14.1 These Terms apply indefinitely from your registration.
14.2 By you: at any time, by email to fondateur@northboldcompagny.com.
14.3 By NBC:
- (a) without cause, with 15 days' notice by email;
- (b) without notice, for a breach of Section 8, 9 or 10, for fraud, or for conduct that may harm NBC's reputation.
14.4 Effect. On termination, you must stop using your Affiliate Link and NBC's materials.
- Under 14.2 and 14.3(a): commissions on Eligible Sales made before the termination date remain payable under Sections 6 and 7, even below the 25 threshold. (may be paid manually)
- Under 14.3(b): unpaid commissions related to the breach are cancelled.
14.5 Sections 7.4, 8, 12, 13, 16, 17 and 18 survive termination.
15. Changes to These Terms
NBC may change these Terms and will notify you by email at least 15 days before the change takes effect, stating clearly what changes. If you do not accept the change, you may terminate at no cost before it takes effect. Changes do not apply to sales made before they take effect.
16. Limitation of Liability
To the extent permitted by law, NBC is not liable for indirect damages, lost profits, or outages of the Systeme.io platform or payment providers. NBC's total liability to you is limited to commissions payable but unpaid for the last 12 months. NBC guarantees no income from the Program. This section does not exclude liability for intentional or gross fault.
17. Indemnity
You will indemnify NBC against any claim, fine or loss, including reasonable legal fees, arising from your breach of these Terms or of the law, including on disclosure, spam or misrepresentation.
18. General
18.1 Governing law. These Terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there.
18.2 Courts. Subject to any mandatory rule of public order, the courts of the judicial district of Québec have exclusive jurisdiction.
18.3 Language. These Terms were first provided to you in French, and this English version is also available. If you have expressly chosen to be bound by the English version, it applies; otherwise, the French version prevails. Les parties ont expressément exigé que ces conditions soient rédigées en anglais, à la suite de la remise de la version française.
18.4 Assignment. You may not assign these Terms without NBC's written consent. NBC may assign them as part of a sale or reorganization of its business.
18.5 Entire agreement; severability. These Terms, the Privacy Policy and the affiliate kit are the entire agreement. If any clause is invalid, the others remain in effect.
18.6 Notices. Notices are sent by email: to you, at your account address; to NBC, at fondateur@northboldcompagny.com.
By registering, you confirm that the French version of these Terms (formation.northboldcompagny.com/affiliates?lang=fr) was made available to you and that you chose to be bound by the English version.
